1. Agreement to Terms

By accessing or using the Stirr app, device and related services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you do not have permission to access the Service.

2. Description of Service

Stirr is a movement product provided by Modera Health Limited that helps break up long stretches of sitting with short, guided movement through the working day. The Service includes:

• Timely nudges that invite you to move at the right moments
• Short, guided movement sessions — typically around 90 seconds — that need no equipment
• Simple set-up around your working hours and preferred rhythm
• The optional Stirr device: a small motion sensor that senses genuine stillness so nudges land at the right time

The Service is designed to support your physical wellbeing and focus through regular movement. We are not a medical service provider.

When you create an account with us, you must provide information that is accurate, complete, and current. You are responsible for:

• Maintaining the security of your account and credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorised use
• Ensuring your device supports notifications for the best experience

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates any applicable law or regulation
• Transmit any material that is defamatory, offensive, or otherwise objectionable
• Impersonate any person or entity
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorised access to any portion of the Service
• Use the Service for any commercial purposes without our express permission
• Misuse the notification system or attempt to circumvent usage limitations

The Service relies on notifications to deliver timely nudges. By using the Service, you agree that:

• We may send you notifications related to your movement sessions
• You can manage notification preferences through your settings
• We may collect and analyse usage and, where you use the Stirr device, motion data to personalise your experience
• You can opt out of data-driven personalisation at any time

7. The Stirr Device

The Stirr device is an optional hardware sensor. Where you choose to buy and use one, additional terms relating to purchase, delivery, and warranty may apply and will be provided at the point of order. You are responsible for using the device in accordance with any guidance we provide.

8. Intellectual Property

The Service and its original content, features, and functionality are owned by Modera Health Limited and are protected by international copyright, trademark, and other intellectual property laws. You may not:

• Copy, modify, or distribute our content without permission
• Use our trademarks without written consent
• Reverse engineer any aspect of the Service or device
• Create derivative works based on our movement content or methodology

9. Privacy

Your use of the Service is also governed by our Privacy Policy. Please review it, as it explains how we collect, use, and protect your personal information, including activity and motion data.

10. Payments

The Stirr app is free to use. The Stirr device, and any future paid features, may be provided for a charge. Where a charge applies, you agree to:

• Provide current, complete, and accurate billing information
• Promptly update account information
• Accept responsibility for all charges incurred under your account

Any fees are non-refundable except where required by law or stated otherwise at the point of purchase.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT NOTIFICATIONS WILL ALWAYS BE DELIVERED SUCCESSFULLY.

We make no guarantee regarding any specific health outcomes, fitness improvements, or wellbeing results from using the Service. Individual results vary based on many factors including consistency of use and individual circumstances.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MODERA HEALTH LIMITED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING FROM YOUR USE OF THE SERVICE OR PARTICIPATION IN ANY ACTIVITIES RECOMMENDED BY THE SERVICE.

13. Indemnification

You agree to defend, indemnify, and hold harmless Modera Health Limited and its employees, contractors, agents, and officers from any claim, damage, obligation, loss, liability, cost, or expense arising from:

• Your use of the Service
• Your participation in any activities or movements through the Service
• Your violation of these Terms
• Your violation of any third-party right

14. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately, and we may delete your account data in accordance with our Privacy Policy.

15. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect through the Service or via email.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in England.
